education services, referred to as the "Customer."

Definitions:

- "Paint Your Way To Profits Training" or “DPA” means the “Paint
Your Way To Profits by TobeyRenee Sanders.

- "Customer" refers to any individual or entity that has entered
into this Agreement with the Paint Your Way To Profits Training to receive
services.

- "Services" encompass all educational courses, materials,
tutorials, online courses, DPA app, Coaching Calls and related support provided
by the Paint Your Way To Profits Training under this Agreement.

  Appointment:

The “Customer” hereby appoints the “Paint Your Way To Profits by TobeyRenee
Sanders” to provide decorative painting education services as described in
Exhibit A attached hereto. The Paint Your Way To Profits Training accepts such
appointment subject to the terms and conditions set forth herein.

  Services:

The “Paint Your Way To Profits by TobeyRenee Sanders” shall provide the
“Customer” with access to online courses on professional decorative painting
techniques, including but not limited to faux finishes, textures, art, glazing
methods, and artistic wall treatments. These services are designed to enhance
the “Customer's” skills in decorative painting arts for personal development or
professional advancement.

        Indemnification

:

1. Indemnification by the Paint Your Way To Profits Training:

- The “Paint Your Way To Profits’ by TobeyRenee” (referred to as the "Paint
Your Way To Profits Training") shall indemnify, hold harmless, and defend
the other party (referred to as the "Customer") against any and all
losses, damages, liabilities, deficiencies, claims, actions, judgments,
settlements, interest, awards, penalties, fines, costs, and expenses arising
out of any third-party claim alleging:

- Material breach or non-fulfillment of any material representation,
warranty, or covenant under this Agreement by the Paint Your Way To Profits
Training or its personnel.

- Any grossly negligent or more culpable act or omission of the Paint Your
Way To Profits Training or its personnel in connection with the performance of
its obligations under this Agreement.

- Bodily injury, death, or damage to real or tangible personal property
caused by the grossly negligent or more culpable acts or omissions of the Paint
Your Way To Profits Training or its personnel.

- Failure by the Paint Your Way To Profits Training to materially comply
with any applicable federal, state, or local laws, regulations, or codes in the
performance of its obligations under this Agreement.

2. Exceptions and Limitations on Indemnification:

- Notwithstanding the above, this indemnification provision does not apply
to any claim for which a sole and exclusive remedy is provided under another
section of this Agreement.

- Any additional services or changes to the scope of work listed here will
require a change order, which may include additional fees not outlined in this
contract's pricing section.

  Statement of Work (SOW) Project Overview

This Statement of Work ("SOW") outlines the specific details and
scope of services to be provided by the “Paint Your Way To Profits’ by
TobeyRenee Sanders” (referred to as the "Paint Your Way To Profits
Training") to the “Customer” (as defined in the Master Agreement). The
effective date of this SOW is [Effective Date].

Paint Your Way To Profits agrees to provide the following services related
to decorative painting:

- The Paint Your Way To Profits Training will offer online courses covering
various decorative painting techniques, including faux finishes, textures,

Profits Training's courses and workshops, students will gain practical
